1. Acceptance of Terms
By accessing our website, requesting a quote, or engaging any service provided by Apex Breez Integrated Services, you agree to be bound by these Terms and Conditions. These terms apply to all visitors, users, clients, and others who access or use our services.
We reserve the right to update these terms at any time. Continued use of our services after changes constitutes acceptance of the revised terms.
2. Service Agreement
By engaging our services, you enter into a service agreement with Apex Breez Integrated Services. We agree to deliver the described services with professional care, and you agree to fulfill the client obligations outlined in these terms.
Our services include, but are not limited to:
- Business registration (Sole Proprietorship, Partnership, LLC, NGO)
- Website design and development
- Accounting system setup and configuration
- Business advisory and consulting
Specific service details, deliverables, and timelines will be outlined in individual service agreements or proposals provided to you before work begins.
3. Client Responsibilities
You agree to cooperate fully with us by providing accurate, complete, and truthful information required for service delivery. Your responsibilities include:
- Providing valid national identification (Ghana Card, Passport, or Voter's ID)
- Supplying correct business names, director details, and shareholder information for RGD registration
- Providing timely content, images, and feedback for website development projects
- Ensuring all information provided is legally yours to share and does not infringe on third-party rights
- Reviewing and approving designs, content, or configurations before we proceed to the next project phase
- Maintaining the security of any login credentials provided to you
We cannot be held responsible for delays or errors caused by incomplete or inaccurate information provided by you.
4. Pricing & Payments
All fees for our services will be communicated to you in writing (via email, WhatsApp, or formal proposal) before work commences. Payment terms are as follows:
- A deposit may be required before work begins — the amount will be specified in your proposal
- Remaining balance is due upon project completion or as otherwise agreed
- Payments are processed securely via Paystack (card, mobile money, or bank transfer)
- Government processing fees (RGD, GRA, etc.) are quoted separately and are non-refundable once submitted to the relevant authority
- Third-party costs (domain registration, hosting, SSL certificates) are quoted separately and are non-refundable once incurred
Late payments may result in project delays. We reserve the right to pause work if payments are overdue by more than 7 days without prior communication.
5. Service Delivery Timeline
We aim to deliver all services within the timelines communicated to you at the start of each project. However, estimated timelines are not guaranteed and may vary due to:
- Processing times of government agencies (RGD, GRA) which are outside our direct control
- Delay in receiving required information or approvals from you
- Scope changes requested during the project
- Force majeure events (natural disasters, pandemics, government shutdowns)
We will keep you informed of progress and any factors that may affect the delivery timeline.
6. Intellectual Property
Upon full payment, the client retains ownership of:
- All business registration documents and certificates issued in their name
- Website design, code, and content created specifically for the client
- Accounting system setup and configurations tailored to their business
Apex Breez Integrated Services retains ownership of:
- Our proprietary tools, frameworks, and methodologies
- Pre-existing intellectual property used in delivering services
We reserve the right to showcase completed work in our portfolio unless a Non-Disclosure Agreement (NDA) has been signed. We will never share sensitive business data or proprietary information without your written consent.
7. Confidentiality
We treat all client information as confidential. We will not disclose, share, or sell your personal data, business information, financial records, or proprietary content to any third party except:
- As required to fulfill your service request (e.g., submitting documents to RGD or GRA)
- As required by law or regulation
- With your explicit written consent
We implement reasonable security measures to protect your information. However, no method of electronic storage or transmission is 100% secure, and we cannot guarantee absolute security.
8. Limitation of Liability
To the fullest extent permitted by Ghanaian law:
- Apex Breez Integrated Services acts as an intermediary for government registrations and cannot be held liable for delays, rejections, or decisions made by the Registrar General's Department (RGD), Ghana Revenue Authority (GRA), or any other government agency
- Our total liability for any claim arising from our services shall not exceed the fees you paid for the specific service in question
- We are not liable for indirect, incidental, special, or consequential damages, including loss of profits, data, or business opportunities
- We are not responsible for third-party service failures (hosting outages, payment processor issues, domain registrar problems)
- We are not liable for any loss resulting from inaccurate information you provide
9. Government Processing
For services involving government agencies, please note:
- Processing times are entirely determined by the relevant government body and are subject to change without notice
- We cannot guarantee specific outcomes (e.g., approval of a business name, tax exemption status, registration approval)
- Government fees are subject to change and are set by the respective agencies, not by Apex Breez Integrated Services
- Any documents returned or rejected by government agencies due to errors in the information you provided may require additional fees to resubmit
10. Refund Policy
Refunds are handled according to our Refund Policy, which forms part of these terms. In summary:
- Services not yet started: Full refund of fees paid to Apex Breez (minus any third-party costs already incurred)
- Services in progress: Refund of fees paid to Apex Breez minus the value of work already completed and any non-refundable costs incurred
- Completed services: Generally non-refundable, as full value has been delivered
- Government fees: Strictly non-refundable once submitted to the relevant authority
- Third-party costs: Domain registration, hosting, and similar costs are non-refundable once incurred
All refund requests must be submitted in writing within 7 days of the triggering event.
11. Termination
Either party may terminate a service agreement by providing written notice to the other party:
- By the client: You may cancel a service at any time by notifying us in writing. Applicable refund terms (Section 10) will apply.
- By Apex Breez: We reserve the right to terminate a service agreement if you fail to provide required information, fail to make payments, or engage in conduct that makes it impractical for us to complete the service.
Upon termination, we will provide you with all completed work and documents. Any unpaid fees for work already completed remain due and payable.
12. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of Ghana. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the competent courts in Ghana.
